This document describes the terms under which you, as a user of Promoted Events ("the platform"), may interact with the platform and make use of it services.  Any interactions with the platform whether by subscription or otherwise implies your universal consent to any and all terms herein related to said interactions.

Note this document may be updated from time to time, whereupon the Effective date above reflects the date of the latest changes.

Whenever you access or use any of the Promoted Events applications or systems, you are acknowledging and agreeing to the latest version of these Terms of Service.

Roles

 

"We" and "our" refer to Promoted Events. We represent the corporate structure, employees, licensee, and contractors; along with the mobile apps, data systems, and IT infrastructure and systems.

An "Event Host" is a person or business that is putting on an event which is being at least partially managed by Promoted Events systems. The Event Host may use or designate a third party to use the platform to manage their relationships with their human resources, sponsors, vendors, and event participants (henceforth "End Users"). The use of the term "event" hereafter shall only refer to those events being at least partially managed by the Promoted Events systems.

A "Licensee" is a client of Promoted Events that is using our systems to manage their own events and/or events for other Event Hosts. Examples of Licensees include event planners and event management companies.  The Licensee also uses our systems to manage their relationships with their own End Users.

A "Distributor" is an entity under contract with Promoted Events as representative for the purpose of promoting the sale and use of Promoted Events throughout the market, both directly to Event Hosts and to Licensees.

A "Regional Manager" is an entity under contract with Promoted Events to provider regulatory, provisioning, and logistical information to Licensees as needed for their events.

Henceforth the term "Client" shall mean either a Licensee or an Event Host.

"End Users" are those persons who register with our systems for the purposes of participating in events either as active participants, or sponsors, or vendors, or volunteers, or any other role associated with participating in or supporting events managed by the Client.

A "User" is anyone who makes use of the platform by interacting with it in any way. A User can be any of the roles above, be that Event Host, Licensee, Distributor, Regional Manager, or End User.

Both User and Promoted Events may be referred to individually herein as "Party" or together as "Parties".

 

Overview of Platform and Its Purpose

 

The Promoted Events system (hereafter, "platform") is a cloud-based system, through which event hosts, end users, licensees, and distributors manage events. The platform is intended for use by event hosts and/or their designees for the purpose of scheduling and organizing events; registering, tracking, and communicating with attendees to such events; analyzing associated marketing; processing payments, collecting & distributing funds; collecting, tracking, and reporting on scores for competitive events; and other functions as may be needed for the purpose of supporting events of all types and categories.

 

Agreement to Abide

 

By using the platform, Users hereby agree to abide by the Terms & Conditions herein; hereafter equally referred to as "Agreement".

 

User Obligations

 

Users must provide accurate and complete information during any interaction with the platform.  Failure to do so constitutes a breach of this Agreement.

 

Platform Usage Rights

 

Insofar as the user is a valid subscriber, licensee, regional manager, or distributor in good standing, user has the rights to use the plantorm within the scope and manner prescribed by Promoted Events. Any breach of this Agreement immediately suspends user's right to access the platform. That notwithstanding, Promoted Events reserves the right to deny access to any user with or without cause.

 

Payment & Funding Policies

 

Promoted Events may collect and distribute monies on behalf of the event host. To cover the costs of payment processing, funds collections & distribution, per attendee registrations and other platform use not covered by subscription or other fees, Promoted Events may charge an administrative fee. The administrative fee is initially calculated based upon the funds collected during registration but may include upcharges for use of addition functionality and tools in the registration system.

Refund & Chargeback Policies

 

Promoted Events will only provide refunds to registered attendees in the event of a paid event cancellation, where such cancellation has not been covered under the legal documents presented during registration, and to the extent that funds have not been remitted to the event host. In such circumstances, the host shall be liable to Promoted Events for all administrative fees associated with the event plus $10.00 per refund processed by Promoted Events plus any other costs to Promoted Events otherwise not covered due to the event cancellation.

For events that are not marked as "No Refunds", Promoted Events shall retain all collected funds until 24 to 72 hours after the event date, whereupon said funds will be electronically deposited in the event host's bank account on record.

Promoted Events will charge $35.00 to process any chargeback issued by an attendee - in addition to any associated administrative fee.

 

Event Cancellation Policies

 

Should a host cancel an event being managed on Promoted Events, it is up to the host to inform any attendees of said cancellation. Promoted Events bears no responsibility to either the event host or their registered attendees in the event of a cancellation.

That is not to say that it may not be incumbant upon Promoted Events, should the event be a paid event, to refund any fees it is still holding to said attendees. In such a circumstance, as noted in the previous paragraph, the event host shall be liable to Promoted Events for any costs and/or damages associated with such event cancellation in addtion to any lost administrative fees.

 

Intellectual Property

 

All software, documentation, and system data (not to be confused with user data) involved in any of the Promoted Events sites, mobile apps, backend systems, etc, where such software, documentation, and system data is not licensed by Promoted Event from a third party intellectual property owner or broker, is the exclusive property of Promoted Events and no use of this platform in any way by any user shall be deemed to confer any such rights to said user or away from Promoted Events.

 

Privacy & Data Protection

 

As part of these Terms & Conditions, the Promoted Events Privacy Policy are contained herein.

 

Dispute Resolution

 

Both User and Promoted Events shall make reasonable efforts to resolve any issues or disputes between the parties. Disputes not resolvable directly between a user and Promoted Events shall be resolved by arbitration in Dallas County, Texas, under the rules and auspices of the American Aribtration Association. The parties hereby agree that the arbiter's determination shall be final and not subject to appeal.

 

Security

 

Promoted Events maintains its operations in secure data facilities, behind multi-tiered firewalls. Promoted Events will not store or transmit credit card or other paymethod data or credentials in any fashion. Promoted Events follows all industry-standard security protocols for maintaining data facilities of its size, scope, and industry.

 

Modification & Termination

 

This Agreement may be subject to modifcation from time to time, in which case, the Effective Date at the top of this page reflects the last date of changes to this Agreement. The parties agree that the user's continued use of Promoted Events after the Effective Date shall be agreement by the user to terms of this Agreement as of the Effective Date.

With the exception of any items herein that survive the termination of this Agreement, the user may terminate this Agreement unilarally at any time by ending their use of the platform and closing out their account.

 

Entire Agreement

 

The contents of this page, combined with the Promoted Events Pricing and Funding Policies and the Promoted Events Privacy Policy, form the entire Agreement between the user and Promoted Events.
